📜 GSong.ai Commercial License Agreement
1. Subscription-Based License Terms and Conditions

GSong.ai provides music licensing services through a subscription model. For detailed information about available subscription plans, please visit our pricing page at https://GSong.ai/pricing. This License Agreement (hereinafter referred to as the "Agreement") establishes the terms and conditions for using the subscription services provided by GSong.ai.
1.2 Acceptance
By accepting the terms of this Agreement, you expressly acknowledge that you are bound by the terms of this Agreement as well as the General Terms, Cookie Policy, and Privacy Policy provided on the GSong.ai official website. You further acknowledge that you have reached the legal age and possess the necessary authority required to enter into this Agreement. If you are acting on behalf of an employer or organization, you confirm that you have the legal capacity to bind that entity to comply with the terms of this Agreement, and "you" herein refers to both yourself and the entity you represent.
2. Key Terms Definition
2.1
"Generated Content": Refers to any music, audio, or other creative works generated through the use of GSong.ai's artificial intelligence tools.
2.2
"Commercial Use": Refers to using Generated Content for economic benefit purposes, including but not limited to selling, licensing, distributing, broadcasting, publishing, or using for advertising or promotional materials.
2.3
"Non-Commercial Use": Refers to strictly using Generated Content for personal purposes without obtaining any direct or indirect economic benefits, such as sharing content on non-profit platforms.
3. License Terms and Subscriber Rights
3.1
GSong.ai grants annual subscribers a non-exclusive, perpetual, global license to use Generated Content for commercial and non-commercial purposes in accordance with the provisions of this Agreement.
3.2 Subscriber Rights:
Your Rights as a Subscriber
- Use and Integration: Subscribers have the right to use Generated Content as part of their personal or professional projects, including integrating such content into larger works or creative endeavors.
- Cross-Platform Distribution: Subscribers may distribute or share Generated Content on platforms including but not limited to YouTube, TikTok, Instagram, Twitch, Facebook, Spotify, Apple Music, and Amazon Music.
- Modification and Creative Adaptation: Subscribers have the right to modify, remix, or adapt Generated Content to meet creative purposes or project-specific requirements.
- Commercial Monetization: Subscribers may monetize Generated Content on any platform or media without incurring additional costs beyond subscription fees.
3.3 Ownership and Commercial Use of Generated Content:
Paid subscribers retain full ownership of all Generated Content created during their subscription period. Even if the subscription expires or is cancelled, Generated Content created during the subscription period may continue to be used for commercial purposes, with full copyright belonging to the creator subscriber.
3.4
Free trial users may only share Generated Content created during the trial period on non-commercial platforms, but must clearly attribute the source: "This content was created by GSong.ai."
3.5 Prohibited Activities:
Users are strictly prohibited from using Generated Content for any illegal, harmful, defamatory, or other activities that violate applicable laws and regulations.
4. Platform Commitments and Representations
4.1
GSong.ai represents and warrants that it possesses all necessary rights and authorizations to grant licenses for Generated Content under the terms of this Agreement.
4.2
GSong.ai warrants that the use of Generated Content in full compliance with this Agreement will not infringe upon any third party's intellectual property rights.
4.3
Except as expressly provided in this Agreement, GSong.ai makes no express or implied warranties regarding the applicability, quality, or suitability of Generated Content for specific purposes or applications.
5. Limitation of Liability
5.1
GSong.ai shall not be liable for any losses, damages, or disputes arising from or resulting from user misuse, unauthorized use, or improper handling of Generated Content.
5.2
Users are responsible for ensuring compliance with relevant third-party platform policies, intellectual property regulations, and any other applicable laws when using Generated Content.
6. License Termination and Revocation
6.1
If a user violates any terms in this Agreement, the license granted under this Agreement will be automatically revoked.
6.2
After license termination or revocation, users must immediately cease all use of Generated Content and permanently delete all related files, data, or materials.
7. Supplementary Terms
7.1
All Generated Content is provided "as is," and GSong.ai expressly disclaims any liability arising from use beyond the terms specified in this Agreement.
7.2
GSong.ai reserves the right to modify or change this Agreement at its sole discretion. In case of significant changes, we will promptly notify subscribers through appropriate channels.
7.3
GSong.ai reserves the right to monitor the use of Generated Content and take appropriate measures (including legal prosecution) against any unauthorized use, copyright infringement, or violations of this Agreement.
